Recounta

Terms & conditions

The short version: the website is general information rather than professional advice, the compliance check is a starting point rather than a clearance, Coat Solo is an organising tool that guarantees nothing and leaves your compliance in your hands, and real engagements run on a signed letter of engagement. The longer version follows.

Agreeing to these terms

These terms govern your use of recounta.com, Coat Solo and, together with each client's engagement terms, the COAT workspace at coat.recounta.com — all operated by Recounta Pte. Ltd. (UEN 202533146C) of 88 Market St, #21-01, Singapore 048948 (“Recounta”, “we”). By using the site you accept them; if you do not, please do not use the site. Questions to general@recounta.com.

If you sign up for Coat Solo, you accept these terms by ticking the box and submitting the sign-up. That forms a binding agreement between you (and the business you sign up for) and Recounta. How we handle personal data is in the privacy policy.

Website content is not professional advice

Everything published on this website — articles, guides, pricing indications, the answers our pages give — is general information for Singapore founders. It is not accounting, tax, corporate-secretarial or legal advice, and reading it does not make you a client of Recounta. Regulations change, and how they apply depends on your facts. Before acting on anything here, check it against your own situation or ask us.

The compliance check is indicative

The compliance check maps the answers you give against common ACRA, IRAS and CPF obligations. Its results are only as good as those answers, it does not cover every obligation that could apply to a business, and it is not a professional opinion on your compliance. Treat it as a starting point for a conversation, not a clearance.

Becoming a client

Recounta acts for a COAT client only under a signed letter of engagement. That letter — not this page — defines the scope of work, fees, responsibilities and liability for professional services. Placing an enquiry or an order through this site is a request for us to respond, not a concluded engagement. Recounta is not an accounting firm or a corporate service provider; corporate secretarial services are provided by our affiliate, Astria Consulting Pte Ltd, under its own terms.

The COAT workspace

Workspace access is by invitation, for Recounta's clients and staff. Keep your sign-in credentials to yourself and tell us promptly if you believe an account has been compromised. We may suspend access to protect the records the workspace holds. The engagement letter governs what happens to client records when an engagement ends.

Coat Solo: what it is, and what it is not

Coat Solo is a self-serve organising tool. It keeps your business facts, people, working copies of your registers and the documents you upload in one place, works out a calendar of ACRA, IRAS, CPF, MOM and PDPC dates from what you tell it, explains them in plain English, and can remind you by email. It is not a corporate service provider, company secretary, accountant, tax agent or legal adviser, and using it does not make you a client of Recounta or of Astria Consulting. Nothing in Coat Solo is professional advice.

No guarantee. The calendar and reminders are an aid to keeping organised. They are worked out from the answers you give and from general rules, which change and do not cover every situation — for example extensions, exemptions or notices an authority sends you directly. We do not guarantee or warrant that the calendar is complete or correct for your circumstances, or that using or following Coat Solo means your business has met its obligations. Reminder emails are sent on a best-effort basis and may be late, filtered as spam or not arrive.

You stay responsible. You, and your business's directors or partners, remain responsible for its compliance: its statutory filings, payments and deadlines, and checking them against the authorities' own notices. When Coat Solo says a job needs a professional, or you are unsure, please get one.

Your information. The calendar, reminders and warnings are generated from the information you give us. You are responsible for keeping that information accurate and complete, for example by checking it against your BizFile profile. We are not responsible for outcomes caused by information you gave us that is inaccurate or incomplete.

Professional warnings. Where Coat Solo says a job needs, or may need, a professional (such as a corporate service provider, company secretary, tax agent or auditor), that is a recommendation based on your answers, not advice. If you choose not to engage one, you do so at your own risk. Which provider you engage is your choice; it need not be Recounta, Astria Consulting or any other affiliate of ours.

Registers are working copies. ACRA keeps the official registers of directors, secretaries, auditors, chief executive officers and (for private companies) members. The registers in Coat Solo are your own working copies, only as accurate as what you enter; check them against your BizFile profile. Your register of registrable controllers and any registers of nominees must still be kept, with their full particulars, at your registered office or with your corporate service provider, and filed with ACRA; Coat Solo does not keep or file them for you.

Handing over. Coat Solo is meant for the stage before you appoint a corporate service provider. Whether, when and to whom you hand over is your choice; you can download your data and a hand-over pack to take with you, and give it to any provider you choose. If you ask us to, we will pass your name, email, business name, business type and any note you add to Astria Consulting so they can contact you.

Early access. Coat Solo is new. Features described on our website may not all be available yet, and we may change, add or remove features as it develops. What your workspace shows is what the service currently does.

Coat Solo: your account

  • Who can sign up. You must be 18 or over. If you sign up for a business, you confirm you are authorised to act for it and to accept these terms on its behalf; “you” then means both you and the business.
  • One account, one product. Each plan covers one business. An email address used for Coat Solo cannot also be used to sign in to a COAT client workspace, and the reverse.
  • Signing in. We email you a link to open your workspace; you can also set a password. Keep your email account and password secure, and tell us promptly if you think someone else has got in. An account that is not opened from its emailed link within seven days is deleted.
  • Your answers. Keep your answers accurate and up to date — the calendar, reminders and warnings depend on them (see “Your information” above). Only add other people's details (directors, shareholders, staff) if you are entitled to, and never type an NRIC number into a field. Only add someone's email for reminders if they have agreed to it. We email them once to ask, and send reminders only if they confirm.
  • Your documents. Only upload documents you have the right to store and share, that are lawful, and that contain no malicious code. Don't upload documents you don't need to, especially ones full of other people's personal data. Storage is limited by plan (currently 5 GB on Free and 25 GB on Solo Max). We do not open your files; we may remove a file, without opening it, if the law requires it or we are validly told that it breaks these terms. Coat Solo is not your record-keeping system: keep your own copies of the records the law requires, such as accounting records for at least five years. We are not responsible for a document's contents or for its loss.
  • Your data is yours. You keep ownership of what you put into Coat Solo, including documents you upload. You allow us to store and process it only to run the service for you, as the privacy policy describes.

Coat Solo: plans and payment

Coat Solo has a Free plan and a paid plan (currently Solo Max at S$19 a month, or ten times the monthly price for a year). Payments are not switched on yet: nobody is charged, whatever plan they pick. Before we start charging, we will email you at least 14 days ahead with the price, and you will only be charged if you then confirm the paid plan and give payment details. If you do not, you stay on the Free plan. The Free plan includes 5 GB of document storage. From then on, these terms apply to paid plans:

  • Free trial. Paid plans start with a 14-day free trial. We will remind you before it ends, and you will not be charged if you cancel before then.
  • Renewal. Paid plans renew automatically for the same period (monthly or yearly) at the price then shown, until you cancel. We will remind you before a yearly plan renews.
  • Cancelling. You can cancel any time in your account or by email. Your plan stays active until the end of the period you have paid for, then moves to the Free plan; you do not lose your data.
  • Refunds. Fees already paid for a period are not refunded, except where we charged you in error, where we end the service early (we refund the unused part), or where the law gives you a right to a refund.
  • Price changes. We will give you at least 30 days' notice by email before a price change applies to you; it takes effect from your next renewal, and you can cancel before then.
  • GST. Prices are in Singapore dollars. If Recounta is registered for GST when you are charged, GST will be added at the prevailing rate and shown before you pay.

Coat Solo: offers and promotions

From time to time we may offer Coat Solo free or at a discount — for example, the first six months free for businesses that are pre-revenue or have not yet received external investment. An offer applies only once we have confirmed in writing that you are eligible, which is at our discretion, and to one business per founder. When a free period ends, you move to your chosen plan only as the plans and payment terms above describe, with the same notice and your confirmation first. We may end an offer for new sign-ups with notice on our website; offers already confirmed to you are honoured.

Coat Solo: ending your account

You can stop using Coat Solo and close your account at any time yourself, on the Account page in Coat Solo, or by writing to general@recounta.com. Before you close it, you can download a copy of your data from the same page: your account details, business facts, people, registers, calendar, documents and sign-up answers. We delete your workspace and its documents within 30 days of closing it (closing it yourself deletes it straight away), as the privacy policy describes.

We may suspend or close an account that breaks these terms, puts the service or other users at risk, or (once billing starts) is not paid; where it is reasonable to, we will warn you first and give you a chance to fix the problem. We may also stop offering Coat Solo; if we do, we will give you at least 30 days' notice by email, time to take a copy of your data, and a refund of any unused prepaid fees.

Acceptable use

Do not misuse the site or our software: no attempts to breach its security, probe or overload it, submit forms or create accounts by automated means, scrape content at scale, copy or resell the service, or impersonate someone else in an enquiry or a sign-up. We rate-limit and screen automated traffic, and we may block traffic that abuses the site.

Intellectual property

The Recounta name, the COAT and Coat Solo names, our logos, the software and the content of this site belong to Recounta or its licensors. You may read, link to and share our articles with attribution; you may not republish site content commercially or pass it off as your own. Your own data stays yours.

Third-party services

Buttons and links that hand you to WhatsApp, Google Maps, LinkedIn, Instagram or TikTok take you to services we do not control, under their own terms. We use service providers to host the site and send email; they are listed in the privacy policy.

Liability

The website is provided as-is. To the extent Singapore law permits, we exclude liability for loss arising from reliance on website content or from interruptions to the site — remember that the site's content is general information, not advice given to you. Nothing here limits the terms of a signed engagement letter, which governs professional work.

For Coat Solo, we will provide the service with reasonable care and skill. Apart from that, and to the extent Singapore law permits, it is provided without any warranty that it is complete, accurate or suitable for your business, or that using it will keep your business compliant. Because it is an organising tool and not a filing or corporate secretarial service, we are not responsible for late-filing penalties, fees, interest or other consequences of a missed statutory obligation, except to the extent they are caused by our own negligence or breach of these terms. We are not liable for indirect or consequential loss, or for loss of profit, business or goodwill. Our total liability to you in connection with Coat Solo is limited to the greater of S$100 and the fees you paid us for Coat Solo in the 12 months before the claim arose.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be excluded or limited under Singapore law, and nothing here takes away rights you have as a consumer under Singapore law.

Changes, law and disputes

We may update these terms as the site and our software evolve; the date below moves when we do, and continued use after a change is acceptance of it. For a change that materially affects Coat Solo users, we will email you at least 14 days before it applies (30 days for a price change), and you can close your account before then if you do not agree.

Only you and Recounta have rights under these terms; no one else may enforce them under the Contracts (Rights of Third Parties) Act 2001. These terms are governed by Singapore law, and the Singapore courts have exclusive jurisdiction over disputes about them. If part of these terms is found unenforceable, the rest stands.
